1. Introduction & Scope
These Terms & Conditions (“Terms”) govern the supply of products, equipment, and services by Biofics Pvt. Ltd. (“Biofics”) to clients, including but not limited to:

  • Bio-CNG / Bio-CBG Plants, Biogas Plants, OWC Machines, Composting Machines, Biofertilizer systems, Biogas PSA, and related services.

By engaging with Biofics (via quotation, order, website transaction, or service agreement), you acknowledge these Terms. Biofics combines 250+ operational plants, patented VPAS technology, and a 200+ expert team to deliver compliant, sustainable, and high-performance solutions for industrial, municipal, corporate, and institutional clients.
2. Definitions

  • Agreement: These Terms together with any quotation, purchase order, order acknowledgment, or scope of work.
  • Products: Physical goods supplied by Biofics (machines, plants, spare parts).
  • Services: Installation, commissioning, training, operation & maintenance, site surveys, consultancy, and after-sales support.
  • Delivery/Installation Site: Location agreed for delivery and/or installation of Products.
  • Confidential Information: Non-public commercial, technical, or process information disclosed by one party to the other.

3. Quotations, Orders & Acceptance

  • Quotations are valid for the period specified; if not specified, validity is 30 days from issue.
  • Orders are binding only after written acceptance or order acknowledgment by Biofics.
  • Variations requested after order acceptance may affect price, delivery, or timelines and require written confirmation.

4. Price, Taxes & Payment Terms

  • Prices are exclusive of applicable taxes (GST, duties), levies, freight, insurance, or other charges unless explicitly stated.
  • Standard payment: 30% advance on order, 50% on delivery, 20% on commissioning (unless otherwise agreed).
  • Late payments may incur 1.5% interest per month. Biofics reserves the right to suspend delivery/services for overdue payments.

5. Delivery, Risk & Title

  • Delivery timelines are estimated and commence after confirmed order, advance payment, and site readiness.
  • Risk passes on delivery, but title remains with Biofics until full payment.
  • Clients  must inspect deliveries and report any damage or non-conformity within 7 days.

6. Installation, Site Requirements & Delays

  • Client is responsible for providing site access, utilities, permits, and preparation.
  • Delays due to client responsibilities may incur additional charges.
  • Additional civil/electrical work or approvals outside the quotation will be invoiced separately.

7. Warranties & Exclusions

  • Biofics warrants Products against manufacturing defects for the period stated in product documentation.
  • Warranty excludes defects from misuse, neglect, unauthorized modifications, or operating outside specifications.
  • All other warranties are disclaimed, including implied fitness for a particular purpose.

8. Liability & Indemnity

  • Biofics’ liability is limited to direct damages up to the order value.
  • Neither party is liable for indirect, special, or consequential damages.
  • Client shall indemnify Biofics against claims from client-supplied data, misuse, or regulatory breaches.

9. Intellectual Property

  • Biofics retains ownership of patented VPAS technology, proprietary designs, software, and documentation.
  • Clients may use documentation solely for operation and maintenance. Unauthorized resale or redistribution is prohibited.

10. Confidentiality

  • Each party agrees to keep confidential information private and use it only to perform the Agreement.
  • This obligation survives termination for 3 years or longer if legally required.

11. Data Protection & Privacy

  • Biofics processes personal and corporate data as per our Privacy Policy (www.biofics.co.in/privacy) for legitimate business purposes.
  • By using Biofics services, clients consent to data processing necessary for project execution, compliance, and communication.

12. Cancellation & Returns

  • Cancellation of confirmed orders is subject to written agreement and may incur charges (supplier costs + admin fees).
  • Returns are accepted only by prior approval; custom items are non-returnable unless defective.

13. Force Majeure

  • Neither party is liable for events beyond reasonable control (acts of God, strikes, pandemics, government restrictions, supply chain disruptions).
  • The affected party must notify the other promptly; parties will discuss mitigation measures.

14. Termination

  • Biofics may suspend/terminate performance if the client breaches material obligations (including non-payment) and fails to remedy within 30 days.
  • Termination does not affect accrued rights or obligations.

15. Website Use & Content

  • Use of www.biofics.co.in is subject to website terms and Privacy Policy.
  • Biofics is not responsible for third-party content or links.

16. Governing Law & Dispute Resolution

  • Governed by Indian law.
  • Disputes first attempted via good-faith negotiation.
  • Unresolved disputes referred to arbitration in Surat, Gujarat under the Arbitration and Conciliation Act, 1996.
  • Courts in Surat have exclusive jurisdiction for enforcement.

  • All notices must be in writing:

18. General

  • No waiver is effective unless in writing.
  • Invalid provisions do not affect remaining Terms.
  • These Terms constitute the entire agreement between parties, superseding prior communications.
